These Provider Terms & Conditions ("Terms") govern your access to and use of the Switchable provider-facing website at providers.switchable.careers and any related services, research, surveys, or communications made available through it (collectively, the "Platform"). By accessing the Platform, you agree to be bound by these Terms on behalf of yourself and, where applicable, your organisation.

These Terms apply to training providers, employers, recruiters, organisations, and business contacts only. They do not apply to individual consumers, candidates or learners, who are governed by separate terms available here.

1. Definitions

  • "Platform" means the Switchable provider-facing website, forms, surveys, and any related tools or communications.
  • "We", "us", or "our" means Switchable Ltd, a company incorporated in England and Wales (Company No: 17052031).
  • "You" or "Provider" means any training provider, employer, recruiter, organisation, or individual business contact accessing the Platform or engaging with Switchable services.
  • "Services" means any research, surveys, lead generation, candidate referral, or other commercial services offered by Switchable from time to time.
  • "Commercial Agreement" means any separate written agreement entered into between Switchable and a Provider governing the specific terms of a commercial relationship, including pricing, lead volumes, and service levels.
  • "Candidate" means any individual referred by Switchable to a Provider, whether in connection with funded training, self-funded training, employment, or recruitment opportunities.
  • "Candidate Data" means any personal data relating to Candidates passed to a Provider by Switchable pursuant to a Commercial Agreement and with the individual's explicit consent.

2. About Our Services

Switchable operates a platform that connects adults with training and career development opportunities, including funded and self-funded training, employment, and recruitment pathways. We offer commercial lead generation, candidate referral, and related services to training providers, employers, and recruiters. Specific terms, pricing, and service levels are agreed separately with each partner via a Commercial Agreement.

Any commercial services, including lead generation, candidate referrals, pricing, service levels, and payment terms, will be governed by a separate Commercial Agreement entered into between Switchable and the relevant Provider. These Terms set out the general framework that applies to all Providers and are incorporated into any such Commercial Agreement by reference.

We also conduct market research and surveys with providers from time to time to inform the ongoing development of our services and to produce industry insights.

3. Market Research and Surveys

Where you participate in any Switchable research study or survey, participation is entirely voluntary. Your responses may be used to produce reports, studies, or marketing materials. All published findings are anonymised and aggregated. Individual responses are never attributed to you or your organisation without your prior written consent.

You may withdraw your participation at any time prior to submission. Once submitted, anonymised responses may be retained and used in accordance with our Privacy Policy.

Where you opt in to be contacted by Switchable following a survey or research activity, we may contact you regarding our services, report findings, and relevant industry insights. You may withdraw this consent at any time by contacting us at legal@switchable.careers or using the unsubscribe link in any communication.

4. Commercial Services and Commercial Agreement

Any commercial arrangement between Switchable and a Provider, including the provision of lead generation services, candidate referrals, or any other paid services, will be set out in a separate Commercial Agreement. No commercial obligation arises between the parties solely by virtue of these Terms or your use of the Platform.

Where a Commercial Agreement is in place, these Terms are incorporated into and form part of that agreement. In the event of any conflict between these Terms and a Commercial Agreement, the Commercial Agreement shall take precedence.

Switchable reserves the right to decline to enter into a Commercial Agreement with any Provider at its absolute discretion and without providing reasons.

5. Candidate Data and Data Protection

Where Switchable passes Candidate Data to a Provider pursuant to a Commercial Agreement, the Provider agrees to:

  • Use Candidate Data only for the purpose of contacting the relevant Candidate in connection with the opportunity for which they were referred
  • Not share, sell, or transfer Candidate Data to any third party without Switchable's prior written consent
  • Handle Candidate Data in accordance with UK GDPR and all applicable data protection legislation
  • Contact Candidates only via the channels and within the timeframes agreed in the Commercial Agreement
  • Delete or anonymise Candidate Data promptly upon request or upon expiry of the agreed retention period

Switchable collects and processes Candidate personal data as an independent data controller. Candidate data is only shared with Providers where the individual has given their explicit consent to be contacted. The Provider acknowledges that it acts as an independent data controller in respect of any Candidate Data it receives and is solely responsible for its own compliance with applicable data protection legislation.

6. Provider Obligations

By accessing the Platform and engaging with Switchable services, you agree to:

  • Provide accurate and complete information in any survey, form, or communication with Switchable
  • Not misuse the Platform or attempt to access systems or data without authorisation
  • Comply with all applicable laws and regulations in connection with your use of the Platform and any services received
  • Not use any content, data, or materials obtained through the Platform for any purpose other than that for which they were provided
  • Promptly notify Switchable of any data breach, complaint, or regulatory inquiry relating to Candidate Data received from Switchable

7. Disclaimer

The Platform and any information, reports, or materials provided through it are offered for general informational purposes only. While we aim to ensure accuracy, we do not warrant that any information provided is complete, current, or free from error.

Any market research findings, reports, or industry data published by Switchable are based on survey responses collected at a specific point in time and should not be relied upon as definitive market intelligence. Switchable accepts no liability for decisions made on the basis of such information.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

  • We are not liable for any indirect, consequential, incidental, or special losses arising from your use of the Platform or any services provided
  • We are not liable for any loss of profit, revenue, business, or opportunity arising in connection with these Terms or any Commercial Agreement
  • We are not responsible for the accuracy, quality, or outcomes of any candidate referral or introduction
  • We are not liable for any temporary unavailability of the Platform due to maintenance, technical issues, or circumstances beyond our reasonable control
  • Where liability cannot be excluded, our total aggregate liability to you shall not exceed the total fees paid by you to Switchable in the three months preceding the event giving rise to the claim

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

9. Intellectual Property

All content on the Platform, including but not limited to text, graphics, logos, survey content, reports, and design, is owned by or licensed to Switchable Ltd and is protected by applicable intellectual property laws.

Any reports or findings produced by Switchable using survey data, including data contributed by you, remain the intellectual property of Switchable. You may not reproduce, distribute, publish, or commercially exploit such materials without our prior written permission.

You retain ownership of any information or data you provide to Switchable. By submitting information through the Platform, you grant Switchable a non-exclusive licence to use that information for the purposes described in these Terms and our Privacy Policy.

10. Confidentiality

Each party agrees to keep confidential any information disclosed by the other party that is marked as confidential or that ought reasonably to be considered confidential given its nature and the circumstances of disclosure.

This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law or regulatory authority. Any confidentiality obligations specific to a commercial relationship will be set out in the relevant Commercial Agreement.

11. Availability of the Platform

We aim to keep the Platform available and functioning but do not guarantee uninterrupted access. We reserve the right to update, suspend, or withdraw any part of the Platform at any time. We will not be liable for any loss or inconvenience caused by any unavailability of the Platform.

12. Privacy and Data Protection

Your use of the Platform is governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. Please review these documents to understand how we collect, use, and protect personal data.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Platform, our services, or applicable law. Any updates will be posted on this page and the date at the top will be updated accordingly. Where changes are material, we will endeavour to provide reasonable notice. Your continued use of the Platform following any changes constitutes your acceptance of the updated Terms.

14. Termination

We reserve the right to suspend or terminate your access to the Platform at any time if we reasonably believe you have breached these Terms or acted in a manner inconsistent with applicable law or our policies.

Termination of access to the Platform does not affect any Commercial Agreement in place between the parties, which shall be governed by its own termination provisions. Clauses that by their nature should survive termination, including confidentiality, intellectual property, limitation of liability, and governing law, shall continue to apply.

15. Complaints

If you have a complaint about our services or the Platform, please contact us in the first instance at legal@switchable.careers. We will acknowledge your complaint promptly and aim to resolve it as quickly as reasonably possible.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
